Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between USteps AI Limited ("USteps," "we," "our" or "us"), developers of the UClaw software platform, and you. These Terms govern your access to and use of USteps' software, platform, APIs, documentation, and related tools, including the website uclaw.dev, and all related software made available by USteps to build, deploy, host, and manage software projects (collectively, the "Service").

By registering for an account, installing the UClaw SDK, or accessing any portion of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the legal authority to bind such entity to these Terms.

1. Description of Service

UClaw provides a managed agent runtime designed to deploy, run, and scale durable AI agents. The Service includes agent execution orchestration, session and history state management, tool execution capabilities, developer dashboards, and integration SDKs.

2. Accounts and Security

  • Registration: To use the Service, you must register for an account using a supported third-party identity provider (such as GitHub or Google). You must provide accurate, current, and complete information.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens. You agree to notify us immediately of any unauthorized use of your account or API keys.
  • Responsibility: You are responsible for all activities that occur under your account, including any API requests initiated by your API keys or applications.

3. Billing, Prepayments, and Fees

  • Prepaid Balance: UClaw operates on a prepaid, pay-as-you-go billing model. You must purchase prepaid balance (in US Dollars) before executing agent runs that consume model tokens.
  • Minimum Top-up: The minimum amount for any manual balance top-up is $10.00 USD.
  • Consumption Fees: Charges are deducted in real-time from your prepaid balance based on your usage of the Service (e.g., input tokens, output tokens, and infrastructure fees). The current pricing, including the 15% infrastructure fee on agentic runs, is detailed on our Pricing Page.
  • Non-Refundable: All purchases of prepaid balance are final and non-refundable. Balance deposits do not expire as long as your account remains active.
  • Insufficient Balance: If your prepaid balance drops to zero or goes negative, we reserve the right to suspend or block new agent runs or API requests until you top up your balance.

4. Acceptable Use and Restrictions

You agree not to, and will not permit any third party to:

  • Use the Service for any illegal, harmful, fraudulent, or deceptive activity.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service's internal orchestration systems (unless permitted by applicable open-source licenses).
  • Bypass, circumvent, or attempt to bypass any security measures, rate limits, or billing mechanisms of the Service.
  • Use the Service to build a product that competes directly with UClaw.
  • Deploy agents designed to spam, harass, distribute malware, or perform unauthorized security scanning.

5. User Code and Agent Operations

  • Your Applications: You retain all ownership, intellectual property rights, and responsibility for the code, configurations, system instructions, and prompts you supply to run your agents.
  • Third-Party AI Models: The Service relays prompt inputs and outputs to third-party artificial intelligence model providers (e.g., OpenAI, Anthropic, Google, DeepSeek) as configured by you. Your use of these models is subject to the respective terms and acceptable use policies of those providers.
  • Agent Executions: You acknowledge that AI agents can perform autonomous tasks (such as using tools or calling external APIs) based on your instructions. You are solely responsible for the outcomes, costs, and effects of your agents' activities.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UCLAW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO UCLAW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

8. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
